Acceptable Use Policy

This Acceptable Use Policy (“AUP”) sets forth rules that apply to the use of any products, services or other offerings (collectively, the “Services”) of Nexus Investing Inc. (“Nexus,” “us,” “we,” or “our”) by Customer, Customer’s Users, Athletes, or any other person to whom Customer grants the right to access and use the Services (collectively, “you”). Your use of the Services must comply with this AUP. This AUP is not exhaustive, and Nexus reserves the right to take remedial action in connection with content or uses not specifically described below. Nexus may modify this AUP at any time by posting a revised version on Nexus’s website.

Capitalized terms not defined in this AUP have the meanings given in the Master Customer Agreement or Nexus Terms of Service, or such other written agreement, contract, instrument, or other writing entered into by you and Nexus governing the provision of the Services to you.

• Content Restrictions. You will not upload, store, post or transmit content that: 
  • Is obscene, defamatory, deceptive, harassing, abusive, threatening, hateful or discriminatory; 
  • Violates anyone else’s intellectual property, privacy, publicity or other rights;
  • Violates applicable laws or regulations (including misrepresentation of yourself as an Athlete or any other party to access an account that is not your own);
  • Constitutes education records, personally identifiable financial account information or other regulated data that you do not have permission to submit to the Services; or
  • Contains viruses, malware, malicious code or similar harmful materials.
• Prohibited Conduct. You will not and will not attempt to:
  • Engage in deceptive or illegal activities (including, “spoofing”, “phishing” or pyramid or similar schemes); 
  • Transmit spam or other unsolicited communications to other users;
  • Provide access to Athletes or other parties who are unaffiliated with your institution;
  • Publish benchmark or performance information about the Services without Nexus’s consent;
  • Use the Services in violation of data, privacy or other applicable laws or regulations;
  • Use the Services in a manner that infringes or violates the intellectual property or other rights of Nexus or any third party.
  • Use the Services to engage in, promote, support or facilitate hateful, discriminatory or violent activities, whether online or offline;
  • Use the Services to obtain or to provide investment, financial, tax, or legal advice;
  • Represent yourself as a representative of Nexus, any university, or any institution or entity that you do not have all necessary permission to;
  • Assist, facilitate, or encourage dishonest conduct, including with respect to performance with the Nexus Curriculum, Nexus Exam, or Nexus Certification;
  • Misrepresent, falsify, or forge any Nexus Certification, certification status, or completion record;
  • Engage in any activity that we determine in our sole discretion will cause liability to us or is otherwise objectionable.
• No Disruption. You will not and will not attempt to:
  • Access the Services through unauthorized means (for instance, scraping, crawling, or through any other person’s or entity’s account);
  • Disable or interfere with the Services or circumvent any security or access controls;
  • Monitor traffic on the Services without Nexus’s express permission;
  • Review, download, access or copy any material provided by Nexus or Athletes that you don’t have permissions to access;
  • Share login credentials with any other party;
  • Access the Services or download copies of any Service content for purposes of creating competitive or similar services or products, whether internally or externally;
  • Probe, scan, penetrate or test the vulnerability of Nexus’s system or network; or
  • Try to access other users’ data or accounts without their express permission.
• Others. You will not permit or encourage others to commit any of the actions above.
• AI Features. Certain portions of the Service may rely on or use generative artificial intelligence or other machine learning functionality (“AI Features”). When you elect to use a feature of the Service powered by an AI Feature, you must comply with all terms and policies applicable to such AI Features.

We may monitor compliance with this AUP and investigate any violations. If we determine that you or your content violates this AUP, we may remove or suspend access to your content or suspend your access to the Services. Any suspension or termination under this AUP is in addition to, and does not limit Nexus’s suspension or termination rights under the Master Customer Agreement, Terms of Service, and applicable law.

We may report any activity that we suspect violates any law or regulation to law enforcement officials, regulators, or other appropriate third parties, and cooperate with them to investigate and prosecute illegal conduct. Our reporting may include disclosing information related to the violation of this AUP.

If you become aware of any suspected violation of this AUP, please notify us at info@investnexus.co and provide a full explanation of the bases for the violation.
